BROADCAST & CONTENT LICENSING AGREEMENT

Broadcast & Licensing Agreement

Effective Date: March 2, 2026

This Agreement is entered into between:
ProductionBloc LC (“Licensor”)
and
[Licensee Name] (“Licensee”)

1. Grant of License

Licensor grants Licensee a limited, non-exclusive, non-transferable, revocable license to:

  • Broadcast, stream, or distribute specified media content (“Content”)
  • Use Content for agreed platforms (TV, OTT, digital, social, etc.)
  • Display Content within the defined Territory and Term

2. Scope of Rights

The Licensee is permitted to:

  • Broadcast Content on approved channels/platforms
  • Promote Content using excerpts (trailers, clips, stills)
  • Monetize via ads, subscriptions, or sponsorships (if approved)

The Licensee may NOT:

  • Resell, sublicense, or redistribute Content without written consent
  • Alter or edit Content in a way that harms brand integrity
  • Claim ownership or authorship of the Content

3. Territory & Term

  • Territory: North America
  • Term: TBD

All rights automatically revert to ProductionBloc upon expiration.

4. Licensing Fees & Revenue Model

Option A — Flat Fee

Licensee agrees to pay:

  • TBD, for the defined usage rights

Option B — Revenue Share

  • Licensee agrees to pay TBD of gross or net revenue derived from Content
  • Payments due quarterly with reporting

Option C — Hybrid

  • Base Fee: TBD
  • Revenue Share: TBD

Audit Rights: ProductionBloc reserves the right to audit financial records related to Content monetization.

5. Content Ownership (CRITICAL CLAUSE)

All Content, including:

  • Raw footage
  • Edits and derivative works
  • Graphics, audio, and metadata

remains the exclusive intellectual property of ProductionBloc.

Licensor retains the right to:

  • License the same Content to other parties (non-exclusive model)
  • Distribute Content on its own platforms
  • Monetize independently across global markets

6. Exclusivity (Optional Add-On)

If exclusivity is granted:

  • It must be explicitly defined (platform, territory, or duration)
  • Requires an additional exclusivity fee

Otherwise, all licenses are non-exclusive by default.

7. Compliance & Rights Clearance

Licensee agrees to:

  • Comply with all applicable broadcast, advertising, and media laws
  • Avoid unauthorized association with protected entities, including FIFA and its partners
  • Not imply official sponsorship or endorsement unless licensed separately

8. Indemnification

Licensee shall indemnify and hold harmless ProductionBloc against:

  • Unauthorized use of trademarks, likenesses, or venues
  • Regulatory violations
  • Misuse or misrepresentation of Content

9. Limitation of Liability

ProductionBloc shall not be liable for:

  • Indirect or consequential damages
  • Platform-related distribution failures
  • Revenue losses tied to third-party services

Total liability shall not exceed fees paid under this Agreement.

10. Termination

ProductionBloc may terminate this Agreement if:

  • Payment obligations are not met
  • Licensee breaches usage rights
  • Legal or compliance risks arise

Upon termination:

  • All usage rights cease immediately
  • Licensee must remove all distributed Content

11. Governing Law

This Agreement shall be governed by the laws of the State of Georgia

12. Entire Agreement

This Agreement represents the entire understanding between both parties and supersedes prior agreements.
