MASTER AGREEMENT

Effective Date: March 2, 2026

This Master Agreement (“Agreement”) is entered into between:
ProductionBloc LC (“Company”)
and
[Client Name] (“Client”)

1. SCOPE OF SERVICES

ProductionBloc agrees to provide professional media production and marketing services, which may include but are not limited to:

  • Live streaming and broadcast production
  • Event coverage (single or multi-day)
  • Cinematic video production
  • Social media content creation
  • Photography services
  • Brand storytelling and marketing assets
  • Content distribution and streaming support

Specific Deliverables:

2. FEES & PAYMENT TERMS

  • Total Fee: Pending
  • Retainer: 50% due upon execution of this Agreement
  • Remaining Balance: Due prior to final delivery of content

Payment Terms:

  • No work will commence until deposit is received
  • All retainers are non-refundable
  • Late payments may result in:
    • Project suspension
    • Delayed delivery
    • Withholding of final assets

3. OWNERSHIP & USAGE RIGHTS

3.1 Ownership

ProductionBloc retains full ownership of:

  • All raw footage
  • Edited content
  • Production files
  • Creative assets

3.2 Client License

Client is granted a limited, non-exclusive, non-transferable commercial license to use final deliverables for:

  • Marketing
  • Internal use
  • Digital and social platforms

Restrictions:

  • Client may NOT resell, sublicense, or redistribute content without written approval
  • Client may NOT alter content in a way that damages ProductionBloc’s brand reputation

4. CONTENT LICENSING & MONETIZATION

ProductionBloc retains the unrestricted right to:

  • License content to broadcasters and media networks
  • Distribute content across digital platforms
  • Monetize footage through:
    • Advertising
    • Sponsorship integrations
    • Syndication
    • Streaming platforms

This clause ensures ProductionBloc maintains independent revenue streams beyond client fees.

5. CANCELLATION & TERMINATION

  • All deposits are non-refundable
  • Cancellation within 7 days of scheduled event results in 100% of total fee due
  • ProductionBloc reserves the right to terminate services if:
    • Payment terms are not met
    • Client breaches agreement

6. INDEMNIFICATION & LEGAL PROTECTION

Client agrees to indemnify, defend, and hold harmless ProductionBloc from any claims, damages, or liabilities arising from:

  • Unauthorized use of trademarks or intellectual property
  • Event licensing violations
  • Failure to secure proper event permissions
  • Third-party disputes related to Client’s business or event

7. MEDIA & LIKENESS RELEASE

By participating in any recorded ProductionBloc production, all individuals grant:

Full Rights to ProductionBloc to:

  • Record video, audio, and photographic content
  • Use likeness, voice, and image in:
    • Broadcast
    • Streaming
    • Marketing
    • Promotional materials

Acknowledgements:

  • No compensation is owed for appearance
  • Content may be distributed globally and indefinitely
  • Rights granted are perpetual and irrevocable

8. INDEPENDENT MEDIA & BRAND DISCLAIMER

ProductionBloc operates as an independent media company.

ProductionBloc is NOT affiliated with or endorsed by:

  • FIFA
  • Any official tournament organizing committees
  • Any governing sports bodies or sponsors

Clarification:

  • Any references to global sporting events are used strictly for:
    • Editorial purposes
    • Commentary
    • Independent media coverage

This ensures compliance with trademark law, broadcast rights, and accreditation standards.

9. LIMITATION OF LIABILITY

ProductionBloc shall not be liable for:

  • Indirect or consequential damages
  • Loss of revenue, sponsorships, or audience reach
  • Platform-related issues (e.g., streaming outages, algorithm changes)
  • Third-party distribution failures

10. GOVERNING LAW

This Agreement shall be governed by the laws of the State of Georgia, United States.

11. ENTIRE AGREEMENT

This document represents the full and complete agreement between both parties and supersedes all prior discussions or agreements.
